These Terms and Conditions (“Agreement”) govern the subscription-based dashboard creation services (“Services”) provided by Knotsdata LLC(“Company”, “we”, “our”, or “us”) to you (“Client”, “you”, or “your”). By subscribing to our Services, you agree to comply with and be bound by these Terms and Conditions.

1. Services Provided

The Company provides custom dashboard creation services for business intelligence software. These dashboards will be designed to meet your business needs and deliver impactful insights. The services are provided on a subscription basis, with ongoing support and revisions available as described in this Agreement.

2. Subscription Fees

The Client agrees to pay a monthly subscription fee for the Services. The specific fee will be agreed upon at the start of the subscription and may vary based on the scope of the dashboard creation and ongoing support. Payment will be made monthly in advance.

3. Subscription Period

The subscription begins on the date the Client agrees to these Terms and Conditions and continues until terminated by either party as described below. The Client may cancel the subscription or pause the service at any time after a dashboard is completed. Subscriptions will automatically renew on a monthly basis unless terminated by either party.

4. Revisions

The Client is entitled to request unlimited revisions to the dashboards during the subscription period to ensure the final product meets their needs. All revisions must be requested within a reasonable timeframe after the dashboard’s delivery.

5. Ownership and Intellectual Property

All dashboards created by the Company remain the intellectual property of the Company until full payment is received. Upon full payment, ownership of the dashboard content is transferred to the Client. The Company retains the right to use anonymized data and information derived from the dashboards for internal purposes, such as case studies, marketing, and research.

6. Confidentiality

Both parties agree to maintain confidentiality regarding any confidential or proprietary information shared during the course of the project. This includes, but is not limited to, business strategies, financial data, and client-specific information.

7. Termination

Either party may terminate the subscription at any time. In the event of termination, the Client will be billed for any services rendered up until the termination date. If the Client terminates the service before completion of the dashboard, they will still be required to pay for the work completed until that point.

8. Liability

The Company is not responsible for any damages arising from the use or misuse of the dashboards. The dashboards are designed to provide insights based on the data provided by the Client, but the Company makes no guarantees about the accuracy or completeness of the data.

9. Force Majeure

Neither party shall be held liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, government actions, natural disasters, and technical failures.

10. Amendments

The Company reserves the right to amend or update these Terms and Conditions at any time. Any amendments will be communicated to the Client, and continued use of the Services after such amendments will be considered acceptance of the updated Terms.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Japan.
